Welcome to iPass. By accessing and using our estate security and community management platform, you agree to comply with and be bound by the following Terms of Service. Please review them carefully.

1. Acceptance of Terms

By downloading the iPass application, registering an account, or otherwise using our services, you signify your acceptance of these Terms. If you do not agree to these Terms, you must not use our platform or services. iPass Technologies Ltd. reserves the right to modify these Terms at any time.

2. Description of Service

iPass provides a digital platform for residential communities and estates to manage access control (visitor invites via QR codes), communications (in-app calling, panic alerts), and community administration (utility bill payments, visitor logs). The platform serves residents, estate managers, and security personnel.

3. User Responsibilities

As a user of the iPass platform, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your account credentials.
• Use the visitor invitation system responsibly and only for authorized guests.
• Use the Panic Alert/SOS system only in genuine emergency situations. Misuse of the emergency system may result in penalties imposed by your estate management.
• Not attempt to breach, hack, reverse-engineer, or otherwise compromise the security of the iPass app or infrastructure.

4. Payments and Fees

iPass may facilitate the payment of estate dues, utility bills, or other charges through third-party payment gateways. By using these features, you agree to the terms and conditions of the respective payment processors. iPass is not responsible for transaction failures caused by the payment processor or your bank. Convenience fees may apply and will be clearly disclosed before payment confirmation.

5. Limitation of Liability

iPass serves as an auxiliary tool to enhance estate management and physical security operations. We do not replace physical security personnel or law enforcement. To the maximum extent permitted by applicable law, iPass Technologies Ltd. shall not be liable for any direct, indirect, incidental, or consequential damages resulting from unauthorized estate access, failure of physical security systems, or delays in emergency response.

6. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, including but not limited to violations of these Terms, misuse of the app, or upon the request of your estate management (e.g., if you vacate the premises).

7. Intellectual Property

All content, designs, software algorithms, branding, and infrastructure comprising the iPass platform are the exclusive intellectual property of iPass Technologies Ltd. You are granted a limited, non-exclusive, non-transferable license to use the app for its intended purpose.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal disputes arising out of the use of iPass shall be resolved in the competent courts of Nigeria.
